Director of Legal and Compliance

***This position will be on-site in our Englewood, Colorado Office***

Responsible for ensuring iLending complies with its outside regulatory requirements and internal policies. Responsible for the corporate governance procedures, ensuring each department has properly documented control procedures in place and that these are updated appropriately. Additionally, this position will provide legal and governance support to the President who is responsible for oversight of the Legal Department within iLending. As iLending expands in different states, this position works on compliance with local legislation where necessary. The post holder will be responsible for identifying legislation that impacts on iLending and ensuring compliance with it.

ESSENTIAL DUTIES & RESPONSIBILITES:

  • Create, implement, administer, and enforce policies, procedures and laws required for iLending to operate in accordance with the law and regulations.
  • Review & maintain internal department compliance manual to ensure timely updates and retention; including but not limited to policy handbooks, Compliance Management System, Due Diligence Binder, etc.
  • Draft Legal Documents: Prepare and review legal documents, including pleadings, contracts, agreements, memoranda, and briefs, ensuring accuracy, clarity, and adherence to legal requirements.
  • Employ strong negotiation abilities to engage with consumers, lenders, employees, vendors, insurance carriers, opposing counsel, and other parties involved in disputes against iLending.
  • Serve as a legal advisor to Lending through risk assessment, risk management, and pragmatic decision-making.
  • Provide in-house legal guidance on a wide range of issues affecting the company, including corporate governance, intellectual property, employment matters, contractual disputes, etc.
  • Serve company secretarial functions convening and providing administration for company board of directors shareholders meetings.
  • Educate employees on not only the legal requirements but also the impact on the organization if these do not remain compliant.
  • Report back to business functions on current risk and compliance performance, highlighting or escalating areas of concern and contributing to robust and effective compliance controls within the organization.
  • Review marketing materials, presentations, and websites to ensure compliance with regulatory requirements.
  • Manage the advisory function of the Compliance Department to ensure provision of timely compliance advice and guidance, consistent with Corporate Compliance Standards, to iLending business unit management on policies, procedures and controls necessary for iLending to achieve compliance with consumer banking regulatory requirements.
  • Work with iLending management each year to asses internal process and policies for associated compliance risk and complete necessary Training Needs Analysis and document relevant employee training for reporting.
  • Manage the gathering of internal information in response to regulatory requests, Lender & Vendor Due Diligence, SOC II Audit.
  • Lead Licensing efforts to maintain valid and compliant licenses across iLending’s business functions; including Lender License, Dealer Licenses, and Insurance subsidiaries and agents.
  • Strong interpersonal skills, with the ability to build strong relationships across functions and to communicate effectively with senior business leaders, as well as other professionals and colleagues at all levels of an organization.
  • Ensure compliance with changes in laws, regulations, and trends, including but not limited to: the California Consumer Privacy Act (CCPA), Anti-Money Laundering (AML), Bank Security Act (BSA), Consumer Financial Protection Bureau (CFPB), Financial Industry Regulatory Act (FINRA), Sarbanes-Oxley Act (SOX), Unfair, Deceptive, or Abusive Acts or Practices (UDAAP), and other relevant data protection laws.
  • Demonstrated business acumen, strong analytical skills, and the ability to grasp important business, legal, and financial issues facing the company.

EDUCATION and/or WORK EXPERIENCE REQUIREMENTS:

  • JD from an Accredited Law School
  • Active license to practice law in the relevant jurisdiction.
  • 3-5 years of experience in corporate law
  • Experience liaising with regulators and statutory/law enforcement bodies.
  • Strong understanding of contracts, compliance, & insurance, privacy laws.
  • Excellent written and oral communication, and problem-solving skills.
  • Computer proficiency in Windows-based software and Microsoft Office Suite applications including Word, PowerPoint, Excel, and Outlook.
  • Ability to work collaboratively in a fast-paced and dynamic environment.

Hiring Salary Range:

  • $130,000.00 to 150,000.00 annually
  • Salary to be determined by the education, experience, knowledge, skills, and abilities of the applicant, as well as internal and external equity
  • For Regular Full-Time Salaried and Hourly positions, Includes Medical, Dental, Vision, PTO, 401(k) match.
